Diversity Policy Implementation for Board of Directors

A. Diversity Policy:
According to our company's "Corporate Governance Best Practice Principles”, the composition of the board of directors should consider diversity. Apart from not allowing directors who are also company managers to exceed one-third of the board seats, appropriate diversity policies should be formulated considering the company's operation, business model, and development needs, including but not limited to the following two major aspects:
I. Basic Criteria and Values:
Gender and age, with two female directors in our company.
II. Professional Knowledge and Skills:
Professional background, expertise, and industry experience, among others. Directors should generally possess the knowledge, skills, and qualities required to perform their duties.
To achieve the ideal goals of corporate governance, the board of directors as a whole should have the following abilities:
 1. Operating judgment.
 2. Accounting and financial analysis.
 3. Business management.
 4. Crisis management.
 5. Domain Knowledge.
 6. International marketing perspective.
 7. Leadership Decision-making.
 8. Law.

B. Implementation of Diversity:
The board of directors of our company comprises members with diverse backgrounds, all of whom have rich experience in industry operations and academic backgrounds, including operational judgment, accounting and financial analysis, business management, crisis management, industry knowledge, international market perspective, leadership, decision-making, legal expertise, and other professional backgrounds. Our company's board of directors consists of 8 directors, including 4 independent directors, accounting for 50% of the total board members. We follow relevant regulations in assessing the independence of our independent directors. All independent directors are newly appointed. Our company has 2 directors who are also company managers, accounting for 25% of the total board seats. Our company places importance on gender diversity in the board of directors. Among the 8 directors, 2 are female directors, accounting for 25% of the total board members.
